Free Web Design Proposal – Terms and Conditions

By applying for and participating in our Free Web Design Proposal offer, you (“Client”) agree to be bound by these Terms and Conditions. Please read them carefully before submitting your application.
1. Offer Description
This offer includes:
- One (1) free custom home page design proposal, desktop and mobile mockup versions.
- One (1) revision round based on your feedback.
- Initial consultation video call to discuss design preferences and requirements
2. Application and Acceptance
2.1 Application Process
Client must complete our application form with accurate business information. We will schedule a mandatory video consultation call prior to beginning any design work. During this call, we will discuss design preferences, requirements, and project scope.
2.2 Right to Reject or Cancel
We reserve the absolute right to:
- Reject any application for any reason
- Cancel or terminate this agreement at any stage before, during, or after the design process
- Discontinue this offer at any time without prior notice
Examples of situations where we may exercise this right include, but are not limited to:
- Acting in bad faith or providing false information
- Insufficient development budget for potential project execution
- Unclear or unrealistic project requirements
- Misalignment with our service capabilities or business values
3. Design Ownership and Intellectual Property
3.1 Our Intellectual Property Rights
All design concepts, mockups, wireframes, and related materials created under this offer remain our exclusive intellectual property. If Client chooses not to proceed with development, we retain full rights to use, modify, sell, or repurpose the design for any purpose. Client acquires no rights or license to the design unless a separate development contract is executed
3.2 Client Proceeds with Development
If Client approves the design and wishes to proceed, development services are exclusively available through our company. Client may not take the design concept to another development team or company. A separate web development contract must be signed before any development work begins. Upon execution of the development contract and full payment, intellectual property rights transfer according to that contract’s terms.
4. Revision Policy
One (1) revision round is included in this free offer. Revisions must be requested within 7 business days of receiving the initial design proposal. Additional revisions beyond the included round are not available under this free offer. If proceeding to development, additional revisions will be governed by the development contract.
5. No Obligation and Limitations
5.1 No Financial Obligation
This offer is genuinely free with no upfront cost. Client has no obligation to proceed with development services. No payment information is required to participate in this offer.
5.2 Offer Limitations
Limited to one application per business entity. Offer may be paused, modified, or discontinued at any time. Geographic or industry restrictions may apply. Processing time may vary based on application volume.
6. Consultation Call Requirements
Video call participation is mandatory before design work begins. Failure to participate in scheduled consultation may result in application cancellation. Call must include authorized decision-maker for the business. Rescheduling requests must be made at least 24 hours in advance.
7. Development Transition
If Client chooses to proceed with development:
- A separate, comprehensive development contract will be required
- Development pricing will be provided during the design presentation
- Timeline and deliverables will be outlined in the development agreement
- This free offer agreement terminates upon execution of the development contract
8. Disclaimers and Limitations
8.1 Design Scope
Design proposal is conceptual and may not include all final design elements. Final development may include adjustments for technical feasibility. Features shown in mockups may require additional development considerations.
8.2 No Guarantees
We make no guarantees regarding business outcomes from the design. Design effectiveness depends on many factors beyond our control. This offer does not constitute a business partnership or ongoing relationship.
9. Termination
This agreement may be terminated by:
- Client: At any time before design delivery by written notice
- Us: At any time for any reason with or without notice
- Automatic termination: Upon Client’s decision not to proceed with development
10. General Terms
10.1 Communication
All communication regarding this offer must be conducted through authorized channels. Email confirmations will be provided for key milestones.
10.2 Modifications
These terms may be updated at any time. Continued participation constitutes acceptance of modified terms. Material changes will be communicated to active participants.
10.3 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Harris County, Texas, and the parties hereby consent to the personal jurisdiction of such courts.
10.4 Severability
If any provision is found unenforceable, the remainder remains in effect. Invalid provisions will be interpreted to achieve the intended purpose.
